1. Agreement to Terms

By accessing and using NodeOne Digital's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

NodeOne Digital provides web design, web development, SEO optimization, branding, and related digital services to businesses in St Neots, Cambridgeshire, and surrounding areas. Our services include but are not limited to:

  • Custom website design and development
  • E-commerce website solutions
  • Search Engine Optimization (SEO)
  • Website maintenance and support
  • Brand design and digital identity services
  • Consultation and digital strategy

3. Project Terms and Payment

3.1 Project Scope

All projects begin with a detailed proposal outlining scope, timeline, and costs. Any changes to the agreed scope must be approved in writing and may result in additional charges.

3.2 Payment Terms

  • Payment schedules will be outlined in individual project agreements
  • Typically, a 50% deposit is required before work begins
  • Final payment is due upon project completion
  • Late payment may result in project suspension and additional fees
  • All prices are exclusive of VAT unless otherwise stated

3.3 Refunds

Refunds are considered on a case-by-case basis. Work completed and approved by the client is non-refundable.

4. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information
  • Timely response to requests for feedback and approvals
  • Providing content, images, and materials in appropriate formats
  • Ensuring they have rights to all materials provided
  • Making payments according to agreed schedules
  • Testing and approving deliverables within specified timeframes

5. Intellectual Property

5.1 Client Content

Clients retain ownership of all content, including text, images, and other materials provided to NodeOne Digital.

5.2 Website Code and Design

Upon full payment, clients receive ownership of custom code and design elements created specifically for their project. However, NodeOne Digital retains rights to:

  • Reusable code frameworks and methodologies
  • Display completed projects in portfolios and marketing materials
  • Third-party plugins, themes, or tools used in development

6. Website Hosting and Domain

If NodeOne Digital assists with hosting or domain registration:

  • Hosting and domain fees are separate from design/development costs
  • Clients are responsible for ongoing hosting and domain renewal fees
  • We recommend but do not require using our recommended hosting providers
  • Website files and domains can be transferred to client-chosen providers

7. Maintenance and Support

  • Basic support for 30 days post-launch is included in all projects
  • Extended maintenance packages are available separately
  • Emergency support outside of business hours may incur additional charges
  • Maintenance does not include content updates or design changes unless specified

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional skill and care. Any defects in our work will be corrected at no additional charge if reported within 30 days of delivery.

8.2 Disclaimers

NodeOne Digital makes no warranties regarding:

  • Website performance on all devices and browsers
  • Search engine ranking improvements
  • Third-party services or plugins
  • Website security against all threats
  • Uninterrupted website availability

9. Limitation of Liability

NodeOne Digital's liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question. We shall not be liable for any indirect, incidental, or consequential damages.

10. Termination

Either party may terminate a project agreement with written notice. In case of termination:

  • Client is responsible for payment of work completed to date
  • Client receives all completed work upon full payment
  • Deposits are non-refundable unless termination is due to our breach

11. Force Majeure

NodeOne Digital shall not be liable for any delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. We are committed to protecting client data in accordance with GDPR and UK data protection laws.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.

14. Changes to Terms

We reserve the right to modify these terms at any time. Updated terms will be posted on our website with a revised date. Continued use of our services constitutes acceptance of modified terms.
